The Terms of Use (hereinafter called the “Agreement”) describes the terms and conditions (hereinafter called the “Terms”) applicable to the use of services of Evented (hereinafter referred to as “We”, “Us”, “Our”). These services are available on, and also refer to any other platform owned and/or operated by Evented, hereinafter referred to as the “Site” or ”Service”. Visiting or making use of the Site signifies that user accepts the Terms, and those who do not accept the Terms are not permitted to access the Site.
1. Changes
We reserve the right at all times to change or replace these Terms, partially or wholly, at our sole discretion without notice. We will try to provide a 15 day notice prior to any new changes being implemented. All changes become effective immediately after they are posted to the Site. It is the user’s responsibility to review the Terms as they are considered binding, and if a user continues to access our Service after changes have been implemented, it will be considered that the user agrees to the new Terms. This agreement may not be changed by users in any form or manner.

2. Termination
We may suspend or terminate access to our service without any notice or liability, for any reason whatsoever, including but not limited to the breach of Terms. The right to use the Service will be immediately extinct upon termination.

All provisions in the Terms which should survive termination, shall survive termination. This includes, but is not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

3. Governing Law
These Terms are to be governed and understood in accordance with the laws of Alberta, Canada, without regard to its conflict of law provisions. Failure to enforce Terms by us is not to be considered a waiver of any of those rights. If a portion of the Terms is unenforceable by a court, or invalid, the remaining portion of the Terms will still remain in effect. These Terms make up the entire agreement, and are to supercede and replace any prior agreements we might have between us regarding the Service.

4. Evented is a neutral party.
The purpose of the Site is to provide individuals who are planning events with easy access to information about local vendors who offer products and services for events. As such, Evented is not a product, service, vendor or agent representative. Thus, we cannot control quality, accuracy, safety or legality of transactions that take place on or as a result of the Site. We cannot be held responsible for the actions or inactions of any person using the Site.

5. User acknowledgments.
There are two main users of the Site. Evented users (hereinafter referred to as “Members”) include individuals who access the site in order to gather information about companies on the site. Evented vendors (hereinafter referred to as “Vendors”) include individuals and businesses that offer products and services that can be used in an event setting.

Members agree:
-Evented does not provide products and services that are advertised on the Site by Vendors.
-Evented does not endorse Vendors or their products and services, guarantee identity, nor quality of any good or services offered by Vendors.
-A user managed feedback system is in place to assist you with evaluating Vendors, however Members are responsible to conducting their own research before entering into any agreements.
-Transactions that Users enter into with Vendors is based on the User’s sole discretion, and Evented is not a party to that transaction.
-All communications, in all forms, including warranties and representations made in regard to the advertised offerings on the Site are not provided by Us.
-Evented is not a party to disputes that arise between you and a Vendor, or between you and any other users of the Site.
-Participation in certain programs, upon receiving your permission, may result in Vendors receiving contact information for you.

Vendors agree:
-Evented does not endorse Vendors, or their products and services.
-Evented will not assist Vendors in reaching agreements with Members, or providing products or services to Members.
-Evented cannot guarantee identity of Members, nor guarantee their ability to complete their portion of any agreements that both parties have entered into.
-Transactions that Users enter into with Vendors is based on the Vendor’s sole discretion, and Evented is not a party to that transaction.
-Evented is not a party to disputes that arise between you and a Vendor, or between you and any other users of the Site.
-Evented is entitled to retain all basic information, including, but not limited to business name, address, phone numbers, and reviews regardless of whether Vendor has an active account or not.

6. Accounts
When an account is created, all information provided by registering user must be accurate, complete, and current at all times. Users are responsible for all activity associated with your account. Failure to comply will be considered to be a breach of Terms, and can result in termination of your account.

Users are held responsible for protecting the passwords associated with their accounts. Users agree not to disclose passwords to third parties, and will notify Us upon becoming aware of any breach in security or unauthorized use of your account.

7. Membership
Only those entities and individuals of at least 18 years of age who can enter into legally binding contracts under applicable law may seek membership on Evented. If you are creating a membership as an individual, you must be at least 18 years of age and able to enter into a legally binding contract. If you are registering as a business entity, you agree that you have the authority to bind the entity into this Agreement. Memberships may not be transferred or sold to another party.

By joining Evented, you agree to all terms in this Agreement, and to all other Site guidelines.

8. Prohibited Activities
Visitors to and Members of the Site may not:
– Create an account in another’s name
– Create more than one account
– Use another’s account
– Impersonate another person or entity
– Use the Site to break the law or applicable regulations, encourage others to do so, or offer instructions on how to do so
– Offer to provide products or services that violate any applicable law, statute, ordinance or regulation (collectively “Laws”), or offer any products or services in a manner that violates any Laws
– Conduct any type of sweepstakes, promotion or contest without posting official rules
– Collect or harvest information about Site Members, including but not limited to use of robots, spiders, or similar means
– Use information on the Site to send unsolicited email to Members
– Do anything that interferes with or places an undue burden on the Site (as determined by Evented in our sole discretion)
– Use the Site if your membership has been temporarily or permanently suspended or revoked
– Violate any terms of this Agreement
9. Fees
Currently, there are no minimum fees to join Evented.

10. Links to other websites.
Our service may contain links to third-party websites or services that are not owned or controlled by Evented. Evented does not assume any responsibility for any information related to third party web sites. It is strongly advised that you read the terms, conditions and policies of any third party website or service that you visit.

11. Fraud
If fraudulent activity of any sort is suspected, Evented at its sole discretion may suspend or terminate your account.

12. Protection of Intellectual Property Content
Evented and its Site contains and uses copyrighted material, inventions, know how, potentially patentable business method material, design logos, phrases, names, logos, HTML code and/or other computer code and/or scripts (collectively, “Intellectual Property Content”), all of which, unless otherwise indicated and/or provided pursuant to a third party license, are our sole property, and We retain all appurtenant rights, interests and title thereto. We also claim ownership rights under the copyright and trademark laws with regard to the “look”, “feel”, “appearance” and “graphic function” of this Site, including but not limited to its color combinations, sounds, layouts and designs. You agree and acknowledge that your use of this Site does not confer upon you any license or permission to use our (or any third party’s) Intellectual Property Content. You shall not reproduce, modify, display, sell, or distribute the Intellectual Property Content, including but not limited to Submitted Information (as defined below) contributed by you or any other Member, or use our Intellectual Property Content in any other way for public or commercial purposes. All other trademarks, service marks and copyrights are held by their rightful owners. You may not frame or link to the Site without our prior written permission.
